Welcome to Ember Seminars LLC ("Company", "we", "us", or "our"). These Terms & Conditions govern all 1-on-1 Executive & Maximization Coaching services provided through ChadHyams.com and EmberSeminars.com. By enrolling in or accessing our coaching programs, you ("Client" or "you") agree to be bound by these Terms & Conditions.

1. Scope of Services

Ember Seminars LLC provides high-performance 1-on-1 Executive & Maximization Coaching designed to assist clients in business strategy, leadership development, financial discipline, and personal accountability. Deliverables include:

  • Weekly Sessions: One (1) 30-minute private 1-on-1 coaching call per week conducted via phone or video conference.
  • Continuous Communication: Direct email and text-based communication throughout the week for ongoing accountability and strategic guidance.
  • Proprietary Resources: Access to specialized templates, worksheets, and strategic tools created by Ember Seminars LLC. Client is granted a non-exclusive, non-transferable license to retain and use these tools.

2. Location Independence & Remote Service Delivery

All coaching services are delivered 100% remotely via telecommunications, video conferencing (e.g., Zoom), email, and phone systems. Services are fully accessible globally, and Coach has full authorization to execute and deliver all sessions from any international location without physical presence required.

3. Fees, Payment Terms, & Billing Cycles

  • Standard Monthly Fee: $1,000.00 USD per monthly billing cycle.
  • Billing Cycle Date: Monthly fees are due and automatically billed on the recurring calendar date corresponding to the Client's initial start date.
  • Accepted Payment Methods: Direct Deposit / ACH Transfer, Zelle, Venmo, or PayPal. Payments remitted via PayPal are subject to a 3.5% administrative processing surcharge.

4. Grace Period, Late Fees, & Suspension

  • Grace Period: A twenty-four (24) hour grace period is extended following the scheduled monthly billing date.
  • Late Fee: Payments not received within three (3) calendar days of the due date will incur a $50.00 late payment penalty.
  • Suspension: Failure to process payment within three (3) days of the due date will result in immediate suspension of coaching calls, support access, and program resources.

5. Term & Cancellation Policy

  • Master Agreement Term: All client enrollments carry an initial 12-month master term to establish long-term strategic alignment.
  • Initial Commitment: The first three (3) months of coaching represent an initial, non-cancellable commitment.
  • Month-to-Month Renewal & Termination: Following the completion of the initial 3-month period, agreement continues on a month-to-month basis. Either party may cancel the coaching relationship by providing at least fifteen (15) days' written notice prior to the start of the next monthly billing cycle.

6. Intellectual Property Rights

All coaching materials, frameworks, digital products, worksheets, and strategic tools provided by Ember Seminars LLC remain the exclusive intellectual property of Ember Seminars LLC. You may not copy, re-sell, distribute, or commercially exploit any proprietary materials without prior written consent.

7. Disclaimer of Warranties & Limitation of Liability

Coaching is a professional partnership providing strategy, guidance, and accountability. Results are directly dependent on the Client’s execution, commitment, and external market factors. Ember Seminars LLC makes no explicit guarantees regarding financial or business outcomes. Services do not constitute legal, medical, tax, or licensed financial advice.

8. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Florida, United States.
